1. Introduction and Acceptance of Terms

Welcome to YesFlow. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and YesFlow, operated by Sunbucks Ltd., a company registered in Ireland (“YesFlow”, “we”, “us”, or “our”).

By accessing or using the YesFlow platform, website, or any associated services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • “Freelancer” means a registered user who uploads Deliverables to the Service for delivery to Clients.
  • “Client” means any person who accesses a Delivery link to view, approve, and pay for Deliverables.
  • “Deliverable” means any file, work product, or creative asset uploaded by a Freelancer for delivery to a Client.
  • “Delivery” means a transaction created by a Freelancer containing one or more Deliverables, with associated pricing and terms.
  • “Watermarked Preview” means a version of a Deliverable with a visible watermark applied by YesFlow, displayed to Clients before payment.
  • “Connected Account” means a Stripe Connect account linked to a Freelancer's YesFlow account for receiving payments.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Geographic Restrictions

The Service is not available to users located in, or who are residents of, the following countries or regions due to international sanctions, export controls, or other legal restrictions:

  • Cuba
  • Iran
  • North Korea
  • Syria
  • Crimea region
  • Russia
  • Belarus

This list may be updated from time to time in accordance with applicable laws and Stripe's terms of service.

3.3 Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.4 Account Types

Freelancer Accounts: Registered users who create Deliveries, upload files, and receive payments through the Service.

Client Access: Clients do not need to create accounts. They access Deliveries through unique links provided by Freelancers.

4. Description of Services

4.1 Platform Overview

YesFlow is a platform that enables creative freelancers to securely deliver digital work to clients while ensuring payment before final file release. The Service facilitates secure file delivery and payment collection but is not itself a payment processor.

4.2 Core Functionality

The Service provides the following features:

  • File Upload: Freelancers can upload Deliverables to the platform.
  • Automatic Watermarking: Uploaded images are automatically watermarked for preview purposes.
  • Delivery Links: Unique, shareable links are generated for each Delivery.
  • Payment Collection: Clients can pay for Deliveries directly through the platform via Stripe.
  • Secure File Delivery: Upon successful payment, Clients receive access to unwatermarked original files.
  • Communication: Clients can leave comments and feedback on Deliveries.

4.3 Supported File Types and Limitations

The Service currently supports the following file types: JPG, JPEG, PNG, WebP, and GIF.

File Size Limit: Maximum 200MB per file.

Files Per Delivery: Maximum 100 files per Delivery.

5. Subscription Plans and Fees

5.1 Free Tier

The Free tier includes 2 lifetime Deliveries and 5GB of storage. Once the Delivery limit is reached, an upgrade to the Pro tier is required to create additional Deliveries.

5.2 Pro Tier

The Pro tier is available for $29 USD per month and includes unlimited Deliveries and 100GB of storage. Pro tier features also include white-label branding options.

5.3 Transaction Fees

YesFlow does not charge any platform transaction fees on payments collected through the Service. However, standard Stripe payment processing fees apply and are deducted from the Freelancer's payout. Freelancers are responsible for reviewing Stripe's current fee structure.

5.4 Subscription Cancellation

You may cancel your Pro subscription at any time through your account settings. Upon cancellation, you will retain access to Pro features until the end of your current billing period. No refunds are provided for partial billing periods.

6. Payment Processing and Financial Terms

6.1 Payment Processing

YesFlow is not a payment processor. All payments are processed directly by Stripe. When a Client pays for a Delivery, funds are transferred directly to the Freelancer's Stripe Connected Account, minus applicable Stripe fees. YesFlow does not hold, escrow, or have custody of Client funds at any point.

6.2 Freelancer Responsibilities

Freelancers are responsible for setting accurate prices for their Deliveries, ensuring their Stripe Connected Account is properly configured and in good standing, and complying with all applicable laws regarding their services and payments received.

6.3 Payments Are Final

All payments made through the Service are final and non-refundable through YesFlow. YesFlow does not mediate disputes between Freelancers and Clients regarding payment amounts, work quality, or satisfaction.

6.4 Refunds

If a Freelancer wishes to issue a refund to a Client, they must do so directly through their Stripe Dashboard. YesFlow does not process refunds on behalf of Freelancers.

6.5 Chargebacks and Disputes

Any chargebacks or payment disputes initiated by Clients are handled directly through Stripe and will affect the Freelancer's Connected Account. YesFlow is not a party to such disputes and bears no responsibility for chargeback outcomes or associated fees.

6.6 Tax Responsibilities

Freelancers are solely responsible for determining and fulfilling any tax obligations arising from payments received through the Service, including income tax, VAT, GST, or other applicable taxes. YesFlow does not provide tax advice and is not responsible for Freelancer tax compliance.

7. User Content and Intellectual Property

7.1 Ownership of Deliverables

Freelancers retain all ownership rights to their Deliverables. YesFlow does not claim any ownership interest in content uploaded to the Service.

7.2 License Grant to YesFlow

By uploading Deliverables to the Service, Freelancers grant YesFlow a non-exclusive, worldwide, royalty-free license to host, store, display (including watermarked versions), and transmit the Deliverables solely for the purpose of providing the Service. This license terminates when the Deliverable is deleted from the Service.

7.3 Freelancer Representations and Warranties

By uploading Deliverables, Freelancers represent and warrant that they own or have obtained all necessary rights, licenses, and permissions to the content, that the content does not infringe any third-party intellectual property rights, and that they have the authority to grant the licenses described in these Terms.

7.4 YesFlow Intellectual Property

The Service, including its design, features, functionality, and all associated intellectual property, is owned by YesFlow. These Terms do not grant you any rights to use YesFlow's trademarks, logos, or other brand features without prior written consent.

8. Prohibited Content and Conduct

8.1 Prohibited Content

You may not upload, share, or transmit any content that falls into the following categories:

  • Child Sexual Abuse Material (CSAM): Any content depicting the sexual exploitation of minors is strictly prohibited and will be reported to authorities.
  • Adult Content: Pornographic, sexually explicit, or obscene material.
  • Illegal Content: Content that violates any applicable law or regulation.
  • Violence and Gore: Graphic depictions of violence, injury, or death.
  • Hate Speech: Content promoting hatred, discrimination, or violence against individuals or groups.
  • Harassment: Content intended to harass, intimidate, or threaten others.
  • Infringing Content: Content that infringes copyrights, trademarks, or other intellectual property rights.
  • Fraud: Content used to deceive, defraud, or scam others.
  • Malware: Files containing viruses, malware, or other harmful code.
  • Personal Information: Unauthorized disclosure of private or personal information.
  • Regulated Goods: Content related to the sale of controlled substances, weapons, or other regulated items.

8.2 Prohibited Conduct

You agree not to use the Service to engage in any activity that violates these Terms or applicable law, interfere with or disrupt the Service or its infrastructure, attempt to gain unauthorized access to the Service or other users' accounts, use automated means to access the Service without permission, or misrepresent your identity or affiliation.

8.3 Enforcement

YesFlow reserves the right to remove any content that violates these Terms and to suspend or terminate accounts engaged in prohibited conduct, without prior notice and at our sole discretion.

9. Data, Privacy, and Retention

9.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.

9.2 Data Processing

YesFlow processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Irish data protection laws. By using the Service, you consent to such processing as described in our Privacy Policy.

9.3 Data Retention

We retain your data as described in our Privacy Policy. Uploaded files remain stored until you delete them or delete your account. Transaction records are retained as required by law for tax and legal compliance purposes.

10. Disclaimers and Limitation of Liability

10.1 Service Provided “As Is”

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YESFLOW DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Payment

YesFlow does not guarantee that Clients will pay for Deliveries. We facilitate the delivery and payment process but do not guarantee payment collection or enforce payment obligations between Freelancers and Clients.

10.3 Watermark Limitations

While YesFlow applies watermarks to protect Deliverables before payment, we do not guarantee that watermarks cannot be removed, circumvented, or that watermarked previews cannot be misused. Freelancers use the Service at their own risk.

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YESFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

In no event shall YesFlow's total liability to you exceed the greater of (a) the amount you paid to YesFlow in subscription fees during the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

10.5 Essential Basis of Agreement

The disclaimers and limitations set forth in this section are an essential basis of the bargain between you and YesFlow. YesFlow would not provide the Service without these limitations.

11. Indemnification

You agree to indemnify, defend, and hold harmless YesFlow, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any rights of another party, or your Deliverables or other content you upload to the Service.

12. Termination

12.1 Termination by You

You may terminate your account at any time by deleting your account through your account settings or by contacting us at legal@yesflow.io.

12.2 Termination by YesFlow

YesFlow may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, suspected fraudulent or illegal activity, extended periods of inactivity, or cessation of the Service.

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data, including uploaded files, in accordance with our data retention policies. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles.

13.2 Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us at legal@yesflow.io to attempt to resolve any dispute informally. We will endeavour to resolve disputes within 30 days of receiving your notice.

13.3 Jurisdiction

If informal resolution is unsuccessful, any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of Ireland, and you consent to the personal jurisdiction of such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YesFlow regarding your use of the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. YesFlow may assign these Terms without restriction.

14.5 Force Majeure

YesFlow shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, or internet service failures.

14.6 Notices

We may provide notices to you by email to the address associated with your account or by posting notices on the Service. You are responsible for keeping your email address current.

14.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and YesFlow. You are an independent user of the Service.
